Terms

1. The Composition. The writers listed in this agreement are the sole writers of the Composition. The shares recorded are agreed between them and are complete — no other person has a writer's interest in the Composition.
2. Composition only. This agreement covers the Composition — the words and music — and not the sound recording. Ownership of the master is a separate agreement and is unaffected by these shares. Performer credits such as primary artist, featured artist, and producer relate to the recording and are therefore not recorded here.
3. Complete and final. The shares set out in this agreement total 100% and replace any earlier discussion or understanding between the writers. There are no side agreements.
4. Third-party material. The writers warrant and represent that the Composition contains no samples, interpolations, replays, or other third-party copyrighted material (each a Sample) other than: none.
5. Responsibility for Samples. If a Sample becomes the subject of a claim affecting the Composition or the monies it earns, the shares of the writers who did not supply that Sample will not be reduced. Any reduction in copyright share or in monies falls on the writer who supplied it.
6. Registration. Each writer may register their share with their own performing rights organisation and publisher on these terms, and agrees not to register a different split for the Composition. Each writer is responsible for the accuracy of their own name, IPI/CAE number, and publisher details.
7. Roles. The role recorded against each writer describes their contribution to the Composition. Where a writer is also a publisher or an income participant, that interest is stated separately in the publisher column.
8. Changes. These shares may only be varied by a further written agreement signed by every writer named in this agreement.
9. Counterparts. This agreement may be signed in counterparts, including by electronic signature. Each counterpart is an original, and together they form one agreement.
10. Binding effect. This agreement binds each writer and their heirs, executors, administrators, successors, and assigns.
11. Governing law. This agreement is governed by the law of the writers' shared jurisdiction.

Each signatory confirms the shares in this agreement are accurate and complete, and agrees they will be used to register the composition with their performing rights organisation and publisher. This document is a record of what the writers agreed; it is not legal advice.
